Terms of Service

1. Eligibility and accounts

You must be at least 18 years old and able to enter a binding contract. If you use the Services for a brokerage, company, or other organization, you represent that you have authority to bind that organization. You must provide accurate account information, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account.

2. The Services

ListFlow provides software-assisted real-estate marketing tools, which may include listing descriptions, marketing copy, flyers, photo enhancement, virtual staging, saved branding and assets, and related features. Some features are labeled beta, preview, or coming soon. We may improve, add, limit, or discontinue features, but changes will not remove any refund or cancellation right required by law.

The Services are tools for real-estate professionals; they are not a multiple listing service, brokerage, legal service, appraisal, inspection, title service, or substitute for professional judgment.

3. Subscriptions, credits, and payment

• Monthly renewal: paid plans renew automatically each month at the price shown at checkout until canceled.
• Payment processing: Stripe processes payments and may require additional information under its own terms and privacy policy.
• Image credits: each plan includes the monthly image-credit allowance shown at purchase. Credits are usable only within ListFlow, have no cash value, may not be transferred or resold, and reset rather than accumulate when a new billing period begins.
• Failed generations: when ListFlow records a covered generation failure after charging credits, the system is designed to return those credits automatically. A request that completes but produces an output you dislike is not necessarily a failed generation.
• Plan changes: upgrades, downgrades, prorations, and effective dates are shown through Stripe or the Services when selected.
• Taxes: prices may exclude applicable taxes, which you are responsible for paying.

4. Cancellation and refunds

You may cancel through the ListFlow Billing control and Stripe customer portal. Unless the portal states otherwise, cancellation stops future renewals and access to paid plan benefits continues through the end of the current paid billing period. Deleting the app, abandoning an account, or stopping use does not by itself cancel a subscription.

Subscription charges are nonrefundable except where required by law or where ListFlow confirms a duplicate charge, billing error, or other exceptional circumstance. Contact hello@listflow.live promptly if you believe a charge is incorrect. Promotional and beta terms may include different conditions disclosed when offered.

5. Your content and permissions

You retain your rights in photographs, property information, logos, headshots, instructions, and other material you submit ("User Content"). You grant ListFlow and its service providers a worldwide, nonexclusive, royalty-free license to host, copy, transmit, modify, and process User Content only as reasonably necessary to operate, secure, improve, and provide the Services and requested outputs.

You represent that you have all rights, permissions, and lawful bases needed to submit User Content and permit this processing. Do not submit confidential client information, protected records, or personal data that is not necessary for the requested result.

6. AI-generated output and professional responsibility

Outputs may be produced using third-party artificial-intelligence systems. AI can make mistakes, omit facts, alter visual details, repeat existing patterns, or produce material that is inaccurate, incomplete, or not unique. ListFlow does not guarantee that output is factually correct, legally compliant, suitable for an MLS, free of third-party rights, or appropriate for a particular transaction.

You must review and approve every output before publication. You remain solely responsible for verifying property facts, measurements, pricing, dates, disclosures, image accuracy, licensing, brokerage rules, MLS requirements, advertising rules, and compliance with fair-housing and anti-discrimination laws. Clearly disclose virtual staging or material image alteration wherever required. Do not use generated media to conceal defects, misrepresent a property's condition, or create a deceptive impression.

7. Ownership

ListFlow and its licensors own the Services, software, interfaces, templates, branding, documentation, and related intellectual property. Subject to these Terms and applicable law, as between you and ListFlow, you may use outputs created specifically from your User Content for your lawful business purposes. Because AI output may not qualify for intellectual-property protection and similar output may be generated for others, we do not promise exclusivity or ownership enforceability.

8. Acceptable use

You may not use the Services to:

• Violate law, regulation, MLS rules, fair-housing obligations, intellectual-property rights, privacy rights, or contractual duties.
• Create discriminatory, deceptive, fraudulent, defamatory, harassing, obscene, or otherwise harmful content.
• Misrepresent property condition, remove permanent defects, falsify listing facts, impersonate another person, or use a person's likeness without permission.
• Upload malware, probe or disrupt security, overwhelm the Services, scrape protected areas, or bypass access, credit, or usage limits.
• Reverse engineer, copy, resell, sublicense, or create a competing service from protected elements of ListFlow except where law expressly permits.
• Use outputs or the Services to train or develop a competing AI model or service without our written permission.

9. Third-party services

The Services rely on third parties such as Stripe, Supabase, Google, OpenAI, and email or hosting providers. Their services may be governed by separate terms and may experience outages, changes, or processing in other locations. ListFlow is not responsible for a third party's independent products or conduct.

10. Suspension and termination

We may suspend or terminate access when reasonably necessary to protect the Services or others, investigate suspected fraud or misuse, comply with law, address nonpayment, or enforce these Terms. You may stop using the Services at any time, but must separately cancel any paid subscription. Sections that by their nature should survive termination—including payment obligations, ownership, disclaimers, liability limits, and dispute terms—will survive.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." LISTFLOW DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT CONTENT LOSS WILL NOT OCCUR. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY TO YOU.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTFLOW AND HEAD CORNERSTONE LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR OPPORTUNITIES, ARISING FROM THE SERVICES OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO LISTFLOW DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY TO THE EXTENT PERMITTED BY LAW, REGARDLESS OF THE THEORY OF LIABILITY.

13. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless ListFlow, Head Cornerstone LLC, and their officers, members, employees, and agents from claims, losses, liabilities, damages, costs, and reasonable attorneys' fees arising from your User Content, published output, violation of these Terms, violation of law or third-party rights, or misuse of the Services.

14. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. The state and federal courts located in or serving Richmond, Virginia will have exclusive jurisdiction over disputes, and you and ListFlow consent to personal jurisdiction there. Before filing a claim, each party agrees to provide written notice and attempt in good faith for 30 days to resolve the dispute informally. Nothing here prevents either party from seeking urgent injunctive relief.

15. Changes and general terms

We may update these Terms by posting a revised version and updating the effective date. Material changes will receive additional notice where required. Continued use after revised Terms take effect constitutes acceptance. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer of the Services. These Terms and referenced policies are the entire agreement regarding the Services unless separate written terms apply.
